These terms constitute a binding agreement between you and Clearpath. Your continued use of our services indicates your acceptance of these terms and any updates.
- "Services" refers to all legal services provided by Clearpath, including immigration applications, tax planning, and dispute resolution.
- "Client" or "You" refers to any individual or entity engaging our services.
- "Agreement" refers to the retainer agreement and these Terms & Conditions.
- "Firm" or "We" refers to Clearpath and its lawyers.
Our legal services are provided by licensed lawyers in good standing with the Law Society of Ontario. Services include:
- Immigration and permanent residency applications
- Tax planning and compliance advice
- Dispute resolution and litigation representation
The scope of services for each engagement will be defined in a written retainer agreement. We only provide services within our areas of expertise and will refer you to other professionals when appropriate.
As a client, you agree to:
- Provide accurate and complete information
- Respond promptly to our requests for information or documents
- Notify us of any changes to your contact information or circumstances
- Review documents carefully before signing
- Pay fees and expenses as agreed in the retainer agreement
- Notify us immediately if you retain another lawyer for the same matter
Our fee structures include:
- Fixed Fees: For immigration applications and defined-scope matters
- Hourly Rates: For litigation and complex matters
- Retainer: Initial payment required before work begins
All fees are quoted in Canadian dollars (CAD). Payment is due as specified in your retainer agreement. We accept payment by:
- Bank transfer
- Cheque
- Credit card (processing fees may apply)
Late payments may result in suspension of services and interest charges. Unpaid fees may be pursued through collection proceedings.
Either party may terminate our services with written notice, subject to the following:
- You are responsible for fees and expenses incurred up to termination
- We may continue to hold documents until outstanding fees are paid
- We will provide you with your file upon request and payment of outstanding amounts
- We may withdraw from representation if required by our professional obligations

Important limitations on our services:
- We cannot guarantee specific outcomes or results
- Legal processes involve factors beyond our control
- Processing times are determined by government authorities
- Court decisions depend on judges and opposing parties
To the maximum extent permitted by law:
- Our liability is limited to the fees paid for the specific matter
- We are not liable for indirect, consequential, or special damages
- We are not liable for delays caused by third parties or government authorities
All communications with our firm are protected by solicitor-client privilege. We maintain confidentiality according to:
- Law Society of Ontario Rules of Professional Conduct
- Canadian privacy legislation
- Our internal policies and procedures

In the event of a dispute regarding our services:
- Contact us directly to discuss the concern
- If unresolved, we encourage mediation before formal proceedings
- Disputes will be resolved under Ontario law
- Court proceedings, if necessary, will be in Toronto, Ontario
This does not affect your right to file a complaint with the Law Society of Ontario.
- Entire Agreement: These terms and your retainer agreement constitute the complete agreement
- Severability: Invalid provisions will not affect other terms
- No Waiver: Our failure to enforce any term does not waive our right to do so later
- Assignment: You may not transfer your rights without our written consent
- Governing Law: These terms are governed by Ontario law
